Licensor: Crane Inspection Checklists, LLC, a Florida limited liability company, with its principal place of business at 3880 St. Johns Pkwy, Sanford, FL 32771
Product: Crane Checklist mobile application, related web services, APIs, updates, documentation, and associated software
1. Acceptance
By downloading, installing, accessing, or using Crane Checklist, Customer agrees to this Software License Agreement.
If the individual accepting this Agreement is doing so on behalf of a company or other entity, that individual
represents that they have authority to bind that entity.
2. License Grant
Subject to Customer’s compliance with this Agreement and payment of all applicable fees, Crane Inspection Checklists, LLC
("Licensor") grants Customer a limited, non-exclusive, non-transferable, non-sublicensable, revocable license during
the Term to permit the number of authorized users purchased by Customer to access and use Crane Checklist solely for
Customer’s internal business purposes.
3. Authorized Users
"Authorized User" means an individual employee, contractor, or other permitted personnel of Customer for whom Customer
has purchased a current license. Each Authorized User must have a unique login and may not share credentials. User
licenses are personal to the assigned individual and may be reassigned only when an individual permanently stops using
the software or as otherwise permitted by Licensor’s written policies.
4. Scope of Use
Customer may use the software only for lawful internal business purposes, through the number of Authorized Users
purchased, in accordance with the documentation and security requirements, and in compliance with applicable law.
5. Restrictions
Customer shall not, and shall not permit any third party to:
- Allow multiple individuals to use one Authorized User account;
- Exceed the purchased number of user licenses;
- Sell, resell, lease, sublicense, or distribute the software;
- Reverse engineer, decompile, disassemble, or attempt to derive source code except to the limited extent prohibited by applicable law;
- Modify or create derivative works except as expressly authorized in writing;
- Bypass technical controls, license limits, or security mechanisms; or
- Use the software in violation of applicable law.
6. Customer Data
As between the parties, Customer owns Customer Data entered into or uploaded through the software, including checklist
entries, photos, notes, signatures, timestamps, and related records. Customer grants Licensor a limited right to host,
process, transmit, back up, and otherwise use Customer Data solely as necessary to provide, maintain, secure, support,
and improve the software and related services.
7. Access to Customer Data
Customer’s access to Customer Data through Crane Checklist is conditioned on Customer maintaining an active, current
license. If Customer’s license expires, is not renewed, is suspended, or is terminated, Licensor may disable Customer’s
access to the software and to Customer Data stored within the software until Customer obtains a new active license or
otherwise enters into a written agreement with Licensor permitting access.
8. Data Retention and Deletion
Following expiration or termination of Customer’s last active license, Licensor may retain Customer Data for up to
one (1) year from the last license expiration date. During that retention period, Customer will not
have the right to access the software or Customer Data unless Customer maintains or restores an active current license,
or unless Licensor agrees otherwise in writing. After the one-year retention period, Licensor may delete Customer Data
without further notice, unless a longer retention period is required by applicable law or separately agreed in writing.
9. No Obligation to Provide Access After Expiration
Customer acknowledges and agrees that an expired, suspended, or terminated license does not include any right to
continued access to the software, hosted services, or stored Customer Data. Any reinstatement of access after expiration
will be subject to Licensor’s then-current licensing terms, fees, and technical requirements.
10. Fees and Renewal
Customer shall pay all annual license fees and any other applicable charges set forth in the applicable order, quote,
checkout flow, or invoice. Unless otherwise expressly stated in writing, fees are non-refundable once a license term
begins. Failure to renew before the end of the then-current term may result in suspension or termination of access.
11. Term
This Agreement begins on the Effective Date and continues for an initial term of one (1) year unless
earlier terminated in accordance with this Agreement. Thereafter, the Agreement renews for successive one-year renewal
terms only if renewed by purchase, invoice payment, signed order form, or other written renewal confirmation accepted
by Licensor.
12. Suspension
Licensor may suspend access upon notice if Customer exceeds licensed user counts, fails to pay fees when due, materially
breaches this Agreement, or uses the software in a manner that threatens the security, integrity, or availability of the
software or related systems.
13. Intellectual Property
Licensor and its licensors retain all right, title, and interest in and to the software, documentation, trademarks,
trade names, interfaces, designs, code, and all related intellectual property rights. No rights are granted except
those expressly stated in this Agreement.
14. Safety Disclaimer
Crane Checklist is a documentation and workflow tool only. It does not replace required inspections, competent or
qualified personnel, engineering judgment, employer safety obligations, site-specific hazard analysis, manufacturer
instructions, or compliance with applicable law, standards, or regulations.
15. Disclaimer of Warranties
EXCEPT AS EXPRESSLY PROVIDED IN THIS AGREEMENT, THE SOFTWARE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
LICENSOR DISCLAIMS ALL IMPLIED WARRANTIES TO THE MAXIMUM EXTENT PERMITTED BY LAW, INCLUDING IMPLIED WARRANTIES OF
MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL,
CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION,
OR COST OF SUBSTITUTE SERVICES. LICENSOR’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT
WILL NOT EXCEED THE FEES PAID OR PAYABLE BY CUSTOMER TO LICENSOR FOR THE SOFTWARE DURING THE TWELVE (12) MONTHS
PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
17. Governing Law and Venue
This Agreement is governed by the laws of the State of Florida, without regard to conflict-of-law rules. Any legal
action arising out of or relating to this Agreement shall be brought exclusively in the state or federal courts located
in Seminole County, Florida, and each party consents to that venue and jurisdiction.

Terms of Service
Crane Checklist

These Terms of Service govern access to and use of the Crane Checklist websites, mobile apps, hosted services,
customer portals, APIs, and related services provided by Crane Inspection Checklists, LLC
("Company," "we," "our," or "us").
1. Eligibility and Authority
You may use the Services only if you can form a binding contract and, if using the Services for an organization,
you have authority to bind that organization.
2. Account Registration
You may need an account to use portions of the Services. You agree to provide accurate information, keep it updated,
and maintain the confidentiality of your credentials. You are responsible for activities under your account.
3. Paid Services
Certain features of Crane Checklist are offered on a paid annual per-user basis. Access to paid features is limited
to the number of users for whom current paid licenses have been purchased.
4. Accounts
Each user must maintain a unique account. Account sharing is prohibited. The organization that purchased the
subscription is responsible for all activity under its managed user accounts.
5. License Status Required for Access
Access to paid features, stored records, and Customer Data within Crane Checklist requires an
active current license. If a subscription or annual license expires, is cancelled, is suspended,
or is terminated, access to the Services and to stored Customer Data may be disabled.
6. Retention of Data After Expiration
Company may retain Customer Data for up to one (1) year following the expiration of the customer’s
last active license. During that period, the customer will not be entitled to access the Services or its stored data
unless the customer renews or reactivates a current license, or Company expressly permits access in writing. After
that retention period, Company may permanently delete the data in accordance with its retention practices and
applicable law.
7. Acceptable Use
You may not:
- Use the Services for unlawful, fraudulent, or misleading purposes;
- Interfere with or disrupt the Services or related networks;
- Attempt unauthorized access to any account, system, or data;
- Upload malicious code, malware, or harmful content;
- Copy, scrape, or extract data from the Services except as authorized; or
- Use the Services to infringe intellectual property or privacy rights.
8. Software Terms Control
Use of the Crane Checklist application is also governed by the Software License Agreement. If these Terms of Service
conflict with the Software License Agreement on licensing, seat counts, renewal structure, or permitted use, the
Software License Agreement controls.
9. Privacy
Your use of the Services is also subject to the Company Privacy Policy.
10. Availability
We may modify, suspend, or discontinue any part of the Services from time to time. We will use commercially
reasonable efforts to maintain availability, but we do not guarantee uninterrupted or error-free operation.
11. Safety and Compliance
Crane Checklist is intended to support operational workflows and documentation. It does not replace legal compliance
obligations, employer safety responsibilities, engineering judgment, maintenance standards, manufacturer guidance, or
required inspections by qualified personnel. Users remain solely responsible for workplace safety and compliance decisions.
12. Intellectual Property
The Services, including software, text, graphics, interfaces, trademarks, logos, and documentation, are owned by
Company or its licensors and are protected by applicable intellectual property laws.
13. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," TO THE MAXIMUM EXTENT PERMITTED BY LAW. COMPANY DISCLAIMS ALL
IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL,
OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, LOST REVENUE, OR BUSINESS INTERRUPTION. COMPANY’S AGGREGATE
LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO COMPANY FOR THE
SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE.
15. Governing Law and Venue
These Terms are governed by Florida law, excluding conflict-of-law principles. Any dispute arising under these Terms
shall be resolved exclusively in the state or federal courts located in Seminole County, Florida, and you consent to
that jurisdiction and venue.
